These Terms of Service ("Terms") are a legal agreement between you (and, if applicable, the organization you represent) and Creatrix Ventures LLC ("beive," "we," "us," or "our") governing your use of beive (beive.app), our org chart and staff directory builder (the "Service"). By creating an account or using the Service, you agree to these Terms.
By accessing or using beive, you confirm that you can form a binding contract with us, that you accept these Terms, and that you agree to comply with them. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization, and "you" in these Terms refers to both you and that organization.
beive lets you build, maintain, and optionally share org charts and staff directories for your organization. We may add, change, or remove features of the Service over time, and we may offer different plans (currently Free Trial, Starter, School, and District) with different features and limits, as described on our pricing page.
You must be at least 18 years old and able to form a binding contract to create a beive account. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us promptly at hello@beive.app if you suspect unauthorized use of your account.
beive is built for workplace and organizational directories — staff, faculty, and personnel — not for student information or other records about minors. You agree not to upload, enter, or store in the Service any personal information about individuals under 18 years of age, and not to use the Service as a student information system or to store records covered by laws protecting minors' education or health records (such as FERPA). We may suspend or remove content that violates this section.
You and your organization retain ownership of the Directory Content you enter into the Service. You grant beive a limited license to host, store, process, and display that content solely to provide the Service to you, including to render your charts and, if you choose, to serve embedded or published charts to the audience you select.
Charts are private by default. You control whether and when a chart is published or embedded, and whether contact details (phone and email) are included in a published or embedded view, as described in our Privacy Policy. You are solely responsible for the accuracy of your Directory Content and for having the rights and any necessary consents to enter and, if applicable, publish information about the individuals it describes.
You agree not to use the Service to:
Paid subscriptions are billed through Stripe on the plan and billing cycle (monthly or annual) you select at checkout. By subscribing, you authorize us (through Stripe) to charge your chosen payment method on a recurring basis until you cancel. You can cancel your subscription at any time; cancellation takes effect at the end of your current billing period, and we do not provide prorated refunds for partial periods except where required by law. Our Free Trial does not require a credit card and converts to a paid plan only if you choose to subscribe. District-level pricing is arranged individually by contacting hello@beive.app.
We may change our plans or pricing from time to time; we will provide reasonable notice of material changes to pricing for existing subscriptions before they take effect.
beive offers an optional feature that uses a third-party AI document-processing service (LlamaIndex/LlamaCloud) to help extract directory information from documents you upload. You may use beive's shared service for this feature or connect your own LlamaCloud API key ("bring your own key"). If you supply your own key, you are responsible for that key and for any usage charges your provider bills you directly; beive stores that key only in your browser and is not responsible for its third-party provider's services. You should only upload documents you have the right to process through this feature, and you remain responsible for reviewing imported data for accuracy before relying on it.
beive and its original content, features, branding, and functionality (excluding your Directory Content) are and remain the property of Creatrix Ventures LLC and its licensors. Nothing in these Terms grants you any right to use our name, logos, or trademarks without our prior written consent.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE, OR THAT ANY DATA EXTRACTED THROUGH THE AI IMPORT FEATURE WILL BE ACCURATE OR COMPLETE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CREATRIX VENTURES LLC AND ITS OFFICERS, EMPLOYEES, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM AROSE.
You agree to indemnify and hold harmless Creatrix Ventures LLC from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from your Directory Content, your violation of these Terms, or your violation of any rights of a third party, including any claim arising from information about individuals that you entered into or published through the Service.
You may stop using the Service and close your account at any time. We may suspend or terminate your access to the Service if you violate these Terms, including the restriction on student or minor records in Section 4, or if required by law. Upon termination, your right to use the Service ends; we will handle any remaining data consistent with our Privacy Policy.
These Terms are governed by the laws of the State of Minnesota, USA, without regard to its conflict-of-laws principles. Any dispute arising from these Terms or the Service will be subject to the exclusive jurisdiction of the state or federal courts located in Minnesota, and you consent to personal jurisdiction in those courts.
We may update these Terms from time to time. If we make material changes, we will update the effective date above and, where appropriate, provide additional notice. Your continued use of the Service after a change takes effect constitutes acceptance of the revised Terms.
